Position Summary:
Arcesium seeks a talented attorney with an intellectual property and technology transactions background to join its Legal & Compliance team. While the primary focus of this role is on intellectual property and technology transactions, the scope of this position may also extend to general corporate, employment, litigation, and other legal matters as needed. This individual will become part of a small, highly skilled team of lawyers responsible for a wide range of commercial contracts, negotiating on behalf of Arcesium in both customer and vendor relationships, and will be only the second attorney in Arcesium's U.S. Legal & Compliance group. This role can be based remotely within the United States.
Responsibilities:
- Draft, review, and negotiate customer and vendor agreements
- Handle various technology, purchase, service, and consulting agreements
- Review RFPs and DDQs (due diligence questionnaires) as primary representative of the Legal team
- Serve as the internal point of contact for outside counsel handling NDAs, fielding questions as they arise
- Advise business team members within the company on intellectual property matters and other legal issues, including issues related to generative artificial intelligence
- Support general corporate, employment, and litigation matters as they arise, reflecting the team's broader scope of responsibility
Qualifications:
- A law degree, an impressive record of academic achievement, and at least 3-5 years of experience in-house and/or at a law firm
- Experience should include reviewing and negotiating licensing, technology, and other commercial contracts (on behalf of both customers and vendors) as well as advising clients on intellectual property issues and contract interpretation more generally
- Prior experience with issues relating to open-source software and/or generative artificial intelligence is a plus, but not required
- Comfortable juggling competing priorities and working independently and as part of a team in a fast-paced environment
- Excellent analytical abilities, outstanding judgment, keen attention to detail, an impressive work ethic, and proven drafting, communication, and organizational skills
Compensation and Benefits:
The expected annual base salary for this position is $170,000.00 - $200,000.00. Our compensation package includes variable compensation in the form of a year-end bonus, guaranteed in the first year of hire, benefits including medical and prescription drug coverage, and 401k contribution matching.
The applicable annual base salary paid to a successful applicant will be determined based on multiple factors including without limitation the nature and extent of prior experience and educational background.
